Abstract

The "stop order" is an enforcement tool that the Securities and Exchange Commission can employ to suspend registration statements that are deficient in any material respect. With the significant increase in the number of registration statements currently being filed with the Commission, the agency has returned to a more frequent use of the stop order to deal with materially deficient offering statements. This article examines the Commission's stop order authority and the issues that arise in stop order proceedings.
